Contracts Manager

Job Description

- Identify business objectives of direct sales / licensing / consulting transactions, related issues, and facilitates risk/benefit analysis.

- Review, draft and negotiate major account agreements, consulting agreements, special licensing, non-disclosure agreements, terms and amendments for customers located in the Middle East and Africa, and the any other country the company has business in mainly in English, and sometimes in French.

- Drive contract lifecycle from drafting through completion of the negotiation process, and/or contract execution.

- Establish the general policies & procedures manual for the Contracts Department, communicate them to all Contracts Review Specialist in the countries.

- Ensure each Contracts Review Specialists in the country, apply the required customisations needed to adapt the Policies Manual to his/her countries local Laws and regulations, and ensure on-going compliance.

- Standardise all contractual documents for Giza Systems and ensures their communication to the concerned parties.

- Review all Commercial, Partners’, Suppliers’, Vendors’ and Outsourcing contractual documents from legal and risk perspectives, discusses amendments with the concerned parties, to close all contractual gaps and ensure total protection of all parties involved in the contract.

- Intervene and negotiate with Account Managers and/ or Presales Managers during strategic and critical contractual discussions to respond to all clients and/or suppliers’, vendors’ and partners’

requirements covering commercial and financial contractual terms from a legal perspective, and ensures their accurate reflection in the final contract.

- Prepare a quarterly Contracts report outlining the Contracts operations in Egypt and all Giza’s geographies highlighting critical cases, identified and/or pending solutions and progress of corrective actions. 

- Ensure the migration of all legal lessons learnt on a local and regional level on the Knowledge Management System for future reference.

- Ensure the existence of an effective archiving system of all legal documentations for the preservation of all company’s rights on record, for future reference. 

- Keep abreast with all new introductions or changes in the stipulated Egyptian laws and ensure all Contracts Managers in countries do the same for the stipulated laws in their countries on regular basis.

- Act as the legal consultant to Giza Systems Management and provide legal advice where needed.

- Refer and take technical advice from the contracted Legal Firm on complex matters or when seen necessary.

Personal Skills

- Bachelor of Law with an advanced degree in contracts management FIDIC preferred.

- A minimum of 10 years of experience preferably in a relevant industry, minimum 3 years of which in a similar position.
